Idea Box: Terms & Conditions

Information Appliance Associates ("IAA") has set up an "Idea Box" to allow customers to submit suggestions for new features and functionality for IAA product offerings.

If you agree to participate in the IAA Idea Box Program, IAA will consider your ideas for new products or for new features, functionality or enhancements to existing products ("Ideas").

By submitting Ideas to the IAA Idea Box Program website, you agree to the follow terms and conditions:

1. Your submission of Ideas does not create any obligation on IAA's part to implement or incorporate them in future products or otherwise take any other action;

2. Your submission of Ideas does not create any obligation on IAA's part to keep your Ideas confidential or prevent IAA from disclosing your Ideas to others;

3. By submitting your Ideas to IAA, you hereby irrevocably assign, transfer and convey all title and ownership of these Ideas, including any and all intellectual property rights arising therefrom, to IAA, and you agree to cooperate with IAA in perfecting such intellectual property rights;

4. If IAA decides to use any of the Ideas, you hereby irrevocably waive any claim whatsoever for any compensation of any kind in connection with such use, including any and all royalties on the sale, lease, licensing or other transfer of any products using the Ideas;

5. The consideration for your agreement to these terms and conditions is IAA undertaking to consider your Ideas for possible future use;

6. You have fully read and understand all of these terms and conditions for participation in the IAA Idea Box Program. If the Ideas being submitted belong to your company (identified below), you agree on behalf of your company to be legally bound by these terms and conditions and you confirm that you are authorized to enter into this agreement on behalf of your company. If the Ideas being submitted belong to you personally, you agree to be legally bound by these terms and conditions; and

7. This agreement will be governed by and interpreted under the laws of the State of California. This agreement states the entire agreement between you and IAA concerning this subject matter and supersedes all prior discussions, agreements and understanding, either written or oral. This agreement may not be amended except by a writing signed by you (or another authorized representative of your company) and an authorized representative of IAA.
